Seller - Terms & Conditions

Effective Date

This Agreement becomes effective on the date the Seller first completes digital signup, logs into the Seller Portal, or otherwise accesses or uses the Bookeaz.com platform, whichever occurs earliest.

Parties

This Agreement is entered into between Bookeaz.com (“Bookeaz” or “Platform”) and the individual or entity completing Seller registration (“Seller” or "Vendor").

Acceptance of Agreement

By digitally signing up as a Vendor/Seller on Bookeaz.com, the Seller agrees to have read and be bound by the Seller - Terms & Conditions (Read here: https://www.bookeaz.com/pages/bookeaz-vendor-agreement ), Privacy policy – Bookeaz, (Read here: https://www.bookeaz.com/policies/privacy-policy ) Annexure A, Annexure B and any future amendments. Continued login or use of the platform shall constitute ongoing acceptance of the Agreement.

1. Purpose & Scope

This Agreement governs the onboarding, listing, fulfillment, and settlement of products sold by Seller on Bookeaz.com. It ensures operational clarity, legal compliance, and trust between Bookeaz, Sellers, and Customers.

2. Seller Onboarding & Eligibility

· Seller must provide accurate business details, tax ID, and banking information.

· Bookeaz reserves the right to verify identity and reject onboarding if eligibility criteria are not met.

· Seller agrees to comply with all applicable local, state, and federal laws.

3. Listings & Fulfillment

· Seller is responsible for maintaining accurate product listings, pricing, and availability.

· Fulfillment must occur within the stated dispatch window. Delays must be communicated via the Seller Portal.

· Bookeaz may suspend listings for repeated fulfillment failures or customer complaints.

Pickup Location Assignment

Seller must designate a physical pickup location (address, contact name, phone, hours) for each listing or SKU used by Bookeaz’s delivery partner. Updates must be submitted at least 4 hours in advance.

Order Readiness SLA

· Priority Orders: Seller must ensure the order is packed and ready for pickup within 1 hour of receiving the order notification via the Seller Portal.

· Standard Orders: Seller must prepare and pack the order promptly, ensuring timely pickup and delivery in accordance with platform expectations.

Failure to Meet SLAs

If Seller fails to meet readiness or delivery SLAs, Bookeaz may:

· Cancel the order and issue a refund, with the refund amount deducted from the Seller’s payout.

· Charge a noncompliance fee in cases of repeated or persistent SLA violations, as determined at Bookeaz’s discretion.

· Suspend expedited/local delivery eligibility

Exceptions: SLAs do not apply in cases of force majeure, verified inventory discrepancies, or unavailable ZIP-based delivery windows.

Operational Controls

Bookeaz may require timestamped proof of pickup readiness. Repeated SLA failures are considered policy violations under Section 7.

Weight & Quantity Compliance

· Seller must ensure that the weight and quantity of each product fulfilled matches the customer’s order as placed on Bookeaz.com.

· Under-delivery is permitted only if the variance is minor, does not materially affect product usability, and complies with categoryspecific standards. Bookeaz shall have sole discretion to determine whether an underdelivery is acceptable. Any underdelivery deemed unacceptable by Bookeaz may result in adjustments, refunds, or deductions from the Seller’s payout.

· Over delivery is strictly prohibited. If a product is issued with a higher weight or quantity than ordered:

· Bookeaz will apply the lowest per-unit rate between the listed price and the actual receipt uploaded by the Seller.

· Seller will not be entitled to charge more than the customer’s original order value.

· Unfulfilled items: If the Seller fails to fulfill any item in an order, whether in whole or in part, Bookeaz shall deduct the full value of the unfulfilled item(s) from the Seller’s payout. Bookeaz may also issue refunds or adjustments to the customer at the Seller’s expense. Unfulfilled items are not considered underdelivery and shall not be eligible for payout.

Photo / Description Compliance

· By using the Bookeaz.com platform, Seller automatically acknowledges and accepts full liability for all product images, descriptions, logos, and other content (“Content”) displayed in connection with their products.

· This applies whether Content is uploaded directly by the Seller or uploaded by Bookeaz from manufacturer kits, distributor libraries, or other sources, provided the Seller has reviewed and approved such Content prior to publication.

· Seller represents and warrants that they have the necessary ownership rights, licenses, or authorizations to use the Content for commercial purposes.

· Seller shall indemnify, defend, and hold harmless Bookeaz, its affiliates, officers, employees, and agents against any and all claims, damages, losses, or expenses (including attorney’s fees) arising out of or related to any alleged or actual infringement of intellectual property rights in connection with the Content.

· Seller is solely responsible for ensuring that all product photos, descriptions, titles, attributes, and specifications accurately represent the product delivered to the customer. If a customer places an order based on a photo or description that is inaccurate, misleading, outdated, or inconsistent with the actual product delivered, Bookeaz may issue a refund, replacement, or adjustment at the Seller’s expense. Any such refund or adjustment shall be deducted from the Seller’s payout. Bookeaz shall have sole discretion to determine whether a product was misrepresented.

5. Refunds, Returns & Disputes

· Seller agrees to honor Bookeaz’s standardized refund and return policy unless a custom policy is approved.

· Seller must respond to customer disputes within 1 business day.

· Bookeaz may issue refunds on Seller’s behalf if no timely response is received.

· Any amounts arising from customer complaints, quality issues, delivery failures, incorrect items, weight discrepancies, or any other Sellerattributable fault may be deducted from the Seller’s current settlement cycle. If the current cycle does not contain sufficient payable balance, Bookeaz reserves the right to adjust and recover such amounts from future payouts until the full recovery is completed.

· Seller acknowledges and agrees that Bookeaz may apply these adjustments automatically, without requiring additional consent for each instance, and such deductions shall be reflected in the Seller Portal from time to time. Failure to maintain sufficient payable balance shall not exempt the Seller from liability for complaintrelated charges.

Late Delivery Refunds:
Refunds apply only if:

· Customer selected fast delivery at checkout

· Claim is submitted within 48 hours of delivery attempt

· Bookeaz confirms delivery occurred after the promised window

Refunds due to Seller delay is issued at Seller’s expense. Sellers may contest within 2 business days.

6. Privacy & Data Handling

· Seller must not store, share, or misuse customer PII (Personally Identifiable Information).

· All communications must occur via Bookeaz’s session-aware dashboard.

· Bookeaz will mask customer contact details unless explicitly authorized for fulfillment.

7. Compliance, Termination & Liability

· Bookeaz may terminate this Agreement for breach, fraud, or repeated violations.

· Seller may terminate with 30 days’ notice, subject to fulfillment of pending orders and settlements.

· All disputes are governed by the laws of the State of Texas.

Product Liability & Damages:

· Seller acknowledges that Bookeaz is a marketplace platform and does not manufacture, store, or own inventory. The seller bears full responsibility for product safety, legality, labeling, and compliance.

· Seller shall be solely liable for any claims, damages, injuries, or threats to human life arising from products sold via Bookeaz.

· Seller agrees to indemnify and hold harmless Bookeaz from any legal claims, losses, or expenses (including attorney fees) related to product defects, customer harm, or regulatory violations.

· Bookeaz recommends that Sellers maintain product liability insurance.

· For the purpose of Seller payouts, Bookeaz will validate the payable amount against both (a) the order details recorded in the Seller Portal and (b) the seller’s actual bill/invoice. The amount eligible for payout will be the lower of the two. Any discrepancies will be settled strictly on the basis of the lower value.

· To the maximum extent permitted by law, Bookeaz’s total aggregate liability to the Seller for any claim arising out of or related to this Agreement shall not exceed the total platform commission retained by Bookeaz from the Seller in the thirty (30) days preceding the event giving rise to the claim. Bookeaz shall not be liable for any indirect, incidental, punitive, special, or consequential damages, including loss of profits, loss of business, loss of data, or reputational harm.

· Nothing in this Agreement shall be construed to create any partnership, joint venture, employment, franchise, or agency relationship between Bookeaz and the Seller. Seller acts as an independent business entity and is solely responsible for its operations, employees, contractors, taxes, insurance, and compliance obligations. Bookeaz does not act as Seller’s agent for any purpose, including customer interactions, product warranties, or legal compliance.

· Seller represents and warrants that all products listed, fulfilled, and delivered through Bookeaz comply with all applicable federal, state, and local laws, safety standards, labeling requirements, and industry regulations. Seller further warrants that all information provided to Bookeaz, including product details, pricing, tax information, and business credentials, is accurate, complete, and up to date. Any breach of these warranties constitutes grounds for immediate suspension or termination.

· Bookeaz shall not be liable for any delay or failure to perform its obligations under this Agreement due to events beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, power outages, internet failures, supply chain disruptions, or governmental restrictions. During such events, Bookeaz’s obligations shall be suspended without penalty until normal operations resume.

· Advertisement Rates & Paid Visibility: Sellers may opt into paid promotional placements, featured listings, homepage banners, category highlights, or any other advertising services offered by Bookeaz (‘Advertising Services’). All advertisement rates, packages, and promotional fees are governed by a separate Advertisement Agreement or Rate Card issued by Bookeaz from time to time.

· By subscribing to any Advertising Service, the Seller agrees to pay the applicable fees in full, in advance, and acknowledges that such fees are nonrefundable, irrespective of sales performance, traffic, or customer engagement. Bookeaz reserves the right to modify advertisement rates with prior notice, and continued participation constitutes acceptance of revised rates.

· Priority to be given for fast shipping / ShipGuard tag.

· Any dispute arising out of or relating to this Agreement shall be resolved exclusively through binding arbitration in the State of Texas. The parties waive their right to bring claims in court or participate in class actions. Each party shall bear its own legal fees unless otherwise required by law.

8. Branding & Communication

· Seller agrees to maintain a professional tone in all customer interactions.

· Bookeaz may edit or remove listings that violate branding guidelines or contain misleading claims.

· Bookeaz does not guarantee any minimum sales volume, revenue, order frequency, or customer traffic. Seller acknowledges that all sales are dependent on customer demand, product quality, pricing, availability, competition, and other market factors outside the control of Bookeaz. Participation on the platform does not create any assurance, promise, or commitment of sales performance.

9. Amendments & Updates

·Bookeaz may update this Agreement from time to time. The most current version of the Agreement will always be available through the Seller Portal. Seller’s continued access or use of the Bookeaz platform after any update shall constitute acceptance of the revised Agreement.
